1. About these terms
These terms are an agreement between you and Stockhound Pty Ltd (ABN 79 662 195 888), trading as Operating Library ("we", "us", "our"). They apply when you create an account, take a free sample, buy a licence, subscribe to client workspaces or otherwise use the Operating Library website and online library (together, "the service").
If you accept these terms for a business, you confirm that you are authorised to bind it, and "you" means that business. Operating Library is a service for businesses: by using it you confirm that you are acquiring it for business purposes.
Our Refund Policy and Privacy Policy form part of these terms.
2. Words we use
Library: the industry reference material we publish, including departments, workflows, standard operating procedures (SOPs), business models and the documents you can download from them.
Edition: the library for one industry. Release: a dated version of the library.
Licence: a Single Industry, Three Industries, Ten Industries or Complete Library purchase.
Client: an organisation you do work for, including your own business when you work on it.
Your team: the people you add to your account, such as admins, consultants and contractors.
Your content: what you and your team put into the service, such as client details, staff names and roles, edits to SOPs, workshop notes, branding and the answers people give on review links.
3. Your account
Give accurate details and keep them up to date. Each sign-in is for one person; do not share it.
Keep your sign-in methods secure. You are responsible for what happens under your account and by your team.
Tell us straight away at support@operatinglibrary.com if you think someone has used your account without permission. We may suspend access to protect it.
You must be at least 18 to use the service.
4. Free sample
A free account lets you read five complete SOPs from one available edition and try a demo client workspace, so you can judge whether the library fits your work. You may use the sample for that evaluation and inside your own business. The limits in clause 5.4 apply to it. We may change or withdraw free samples at any time.
5. Licences
5.1 What each licence covers.
Single Industry: one available edition.
Three Industries: three available editions.
Ten Industries: ten editions from the catalogue, at least one of them available when you buy. Editions not yet released are supplied as their first releases arrive (clause 7).
Complete Library: every edition in the catalogue when you buy. Editions not yet released are supplied as their first releases arrive (clause 7).
Your account shows the editions and versions your licence covers.
5.2 What you may do. Once your payment is confirmed, we grant you a permanent, non-exclusive licence to use, copy, adapt and translate the versions of the editions supplied to you, for your own business and in work for your clients. There is no limit on the number of clients or on the people in your team.
5.3 Your clients. You may give a client documents you have prepared from the library, such as their tailored SOPs, an operations manual or a responsibility matrix, as part of your work for them. That client may use those documents permanently for its own internal operations and does not need its own licence. It may not sell or redistribute them.
5.4 What you may not do. You may not:
sell, sublicense, publish or distribute the library, or a substantial part of it, as a standalone product, such as an SOP library, a template pack, a course or a competing service, whether or not you have changed it;
use the library, or a substantial part of it, to build a dataset or AI model that is offered to others, or any product that competes with Operating Library. This does not stop you using the material in work you deliver to a client, such as automations or AI agents built for that client;
make the library available to the public, or to anyone other than your team and the clients you are working for;
download or copy the library by automated means beyond normal use of the download and export features.
5.5 Upgrades. You can move to a larger licence by paying the difference shown at checkout. The editions you already hold carry over.
5.6 Who owns what. We and our licensors own the library and all intellectual property in it. These terms give you a licence, not ownership. You own your content and your own additions to documents; the library material inside those documents remains ours and is licensed to you under these terms.
5.7 Transferring a licence. A licence is personal to you. You may transfer it to a buyer of your business, or of the part of it that uses the library, by telling us in writing. It cannot otherwise be transferred.
6. Updates
Every licence includes 12 months of updates to the editions it covers, starting on the day you buy. New versions released in that time are added to your library.
After those 12 months, updates continue while your firm has an active client workspace subscription (clause 8). There is no separate updates membership.
You keep permanent rights to every version you have received, including after updates stop.
An update never changes a client's tailored copy until you review it.
We may revise, correct or reorganise editions in new releases. We will not remove a version you have received unless the law requires it or it contains a serious error, and then we will replace it with a corrected version.
7. Upcoming editions
Ten Industries and Complete Library can include editions that are not yet released. Each is supplied as its first release when we publish it, at no further cost. Later versions follow clause 6.
We aim to release every listed edition by 31 December 2026. Release dates and the final scope of an edition can change.
If an edition included in your purchase has not been released within 12 months of the day you bought it, you can choose a released edition you do not already have in its place. Email us to choose.
8. Client workspaces subscription
Price. US$99 a month for each active client, plus any tax that applies, unless checkout shows a different price. An active client is a client workspace that is not archived. Archived and erased clients are not charged.
Free first month. Once you own an edition, your firm's first month is free for one client. To keep using workspaces after it, or to add another client, start the paid subscription. If you do not, your workspaces become read-only.
Billing. The subscription is billed monthly in advance through Stripe. When you add or archive a client during a month, the difference is calculated for the rest of that month and appears on your next invoice. While the subscription is active it counts at least one client, which also keeps your library updated.
Your team. Teammates and contractors are included at no extra cost. The firm's owner manages the subscription and billing.
AI suggestions. Each active client adds an allowance of AI suggestions each month (currently 100), shared across your firm. Unused suggestions do not carry over. A suggestion only changes an SOP if you accept it, and you are responsible for checking what you accept.
Cancelling. You can cancel at any time. Cancellation takes effect at the end of the period you have paid for. Your workspaces then become read-only and exportable, and updates after a licence's first 12 months stop until you subscribe again.
Failed payments. If a payment fails, Stripe tries again. If every retry fails, the subscription is cancelled and your workspaces become read-only. You can subscribe again at any time.
Price changes. We will email you at least 30 days before a new subscription price applies to you. You can cancel before it does.
9. Payment and tax
Prices are in US dollars and exclude tax. Where tax such as GST, VAT or sales tax applies, it is calculated and added at checkout.
Payments are processed by Stripe. You authorise us to charge your payment method for what you buy and, while you subscribe, for each subscription period.
A licence starts only when we receive confirmation of your payment. Launch discounts apply only as described at the time.
Licence purchases are final and are not refunded. Our Refund Policy explains this, and how we correct a charge made in error.
If a payment is refunded, reversed or charged back, the rights from that purchase end, including its updates and first-release rights, and access to what it supplied is removed. Your other purchases are not affected. Please contact us before disputing a charge with your bank.
10. Your content and client information
You own your content. You give us permission to host, process, back up and display it as needed to provide the service to you and your team, and as you direct, for example when you send a review link.
You are responsible for having the right to enter information about your clients and their staff, and for telling those people how it will be used. Our Privacy Policy explains our role.
Do not enter sensitive information such as health records, financial account numbers, government identifiers or payment card details.
You can export a client workspace at any time. If you close your account, we delete its workspace data within 90 days, as our Privacy Policy describes.
11. Review links
A review link lets a member of your client's staff confirm or flag the SOPs they appear in. It shows only what it was sent for, expires, and can be withdrawn. You are responsible for whom you send review links to.
12. Using the service properly
Do not use the service unlawfully or in a way that harms it or other people. In particular, do not try to get around access controls or usage limits, test or attack its security without our written permission, overload it, reverse engineer it except where the law allows, or upload malicious code or unlawful material. We may limit the rate of downloads and requests to keep the service working for everyone.
13. What the library is, and is not
The library is a reference model of how a typical business in an industry works. It is developed with AI assistance, organised into a consistent model and checked for structure, completeness and formatting. It is not professional, legal, regulatory, clinical, financial or safety advice, and it has not been reviewed for any particular organisation or jurisdiction.
Before you or a client relies on a procedure, check it against how the organisation actually works and the laws, standards and licence conditions that apply to it. Take particular care in regulated work, such as healthcare, childcare, disability support, financial advice, law and anything that affects safety. You are responsible for the documents you deliver.
14. Availability
We work to keep the service available and secure, but we cannot promise it will always be uninterrupted or error-free, and we may need to pause it for maintenance. Our Refund Policy explains what happens if client workspaces are unavailable because of a significant outage on our side.
15. Changes to the service
We may change, add or remove features. We will not take away your ability to read and download the versions you are licensed to use. If we ever stop operating the online library, we will give you at least 90 days' notice and a way to download every version your licence covers.
16. Your rights under consumer law
Nothing in these terms excludes, restricts or changes any right or remedy, or any guarantee, warranty or other term, that the law gives you and that cannot lawfully be excluded or limited, including under the Australian Consumer Law. Where the law allows us to limit our liability for failing to meet such a guarantee, our liability is limited, at our choice, to supplying the services again or paying the cost of having them supplied again.
17. Liability
To the extent the law allows:
we are not liable for indirect or consequential loss, or for loss of profit, revenue, business opportunity or goodwill, however it arises;
our total liability to you for all claims connected with the service is limited to the amount you paid us in the 12 months before the event that gave rise to the claim;
you are responsible for claims made against us by your clients or their staff that arise from documents you delivered or information you entered, except to the extent we caused them by breaching these terms.
These limits do not apply to liability that cannot be limited by law.
18. Suspension and ending
You can close your account at any time by contacting us. Download what you need first: closing the account ends access to the online library, but your licence to use the versions you have already downloaded continues.
We may suspend or end your access if you seriously breach these terms, for example by reselling the library, sharing access outside your team or not paying. Where it is reasonable, we will tell you first and give you a chance to put it right.
If we end your access because of your breach, your licence ends and you must stop using and distributing the library. Documents you delivered to clients in the ordinary course before then may stay with those clients.
Clauses 5.3, 5.4, 5.6, 9, 13, 16, 17 and 20 continue after these terms end.
19. Changes to these terms
We may update these terms. We will publish the new version here and change the date at the top. If a change materially affects you, we will email account holders at least 30 days before it applies. A change never takes away rights to versions you have already licensed.
20. General
Governing law. These terms are governed by the laws of New South Wales, Australia. The courts of New South Wales, and the courts that can hear appeals from them, can decide disputes about them.
Notices. Contact us at support@operatinglibrary.com. We send notices to the email address on your account.
Assignment. We may transfer these terms to a buyer of the Operating Library business, who must honour them. You may transfer them only as clause 5.7 allows.
Events outside our control. We are not responsible for delays or failures caused by events we cannot reasonably control.
Whole agreement. These terms, the Refund Policy and the Privacy Policy are the whole agreement between us about the service. If any part is unenforceable, the rest still applies. If we do not enforce a right straight away, we can still enforce it later.
